The Seychelles archipelago is in the Indian Ocean, northeast of Madagascar. British from 1814, the country gained independence in 1976.

The country has an English common law base but with elements of French civil law. Company legislation is primarily based on the English model. The applicable company legislation is the Seychelles IBC Act 1994. The country is politically stable.

Taxes & Accounts

International Business Companies are not subject to taxation within the Seychelles.


There is no public disclosure of information as the Seychelles registry does not require this information to be filed. On formation, we become the “client of record” on behalf of the owner.  The company documentation of course records the client as being the shareholder & director.

Caution. In common with all jurisdictions offering IBCs, the Seychelles has entered into a number of ‘Tax Exchange Information Agreements’ (known as TIEAs). Clients should avoid establishing companies or bank accounts in jurisdictions where a TIEA has been signed with their home country. For further information, please visit the OECD website and sort by both jurisdiction and ‘type of EOI arrangement’, you are looking for TIEA (not DTA which are Double Tax Agreements), or please contact us for advice.

Directors and Shareholder requirements

Directors and shareholders are not on the public record.

A minimum of one director and one shareholder are required.   A company secretary may be appointed if desired but is not mandatory. Directors, Officers and shareholders may be natural persons or a body corporate, may be of any nationality and need not reside in the Seychelles.

Nominee Services

For additional privacy, we can offer nominee director and shareholder services for Seychelles companies. This allows, for example, a local director to sign sale or purchase contracts without your name appearing on the record.

Formation Time

Company formation can be completed quickly, usually within a couple of days, once local KYC requirements have been met, with a scanned certificate of incorporation. Documents are generally received at our offices in 5 - 7 days.  Seychelles company names must end with Limited, Corporation, Incorporated, Societe Anonyme or a similar recognised alternative.
