St. Vincent and the Grenadines (It’s 18 islands being also known as The Windward Islands) lies in the Eastern Caribbean, north of Grenada. St. Vincent gained independence from The UK in 1979 and has an English common law base together with political stability.

The applicable company legislation is:  The Company Act, No 8 of 1994, The International Business Companies (Amendment and Consolidation) Act 2007 and its regulations., The International Business Companies Act 1996 (as amended, 2002) and The International Trusts Act 1996 (as amended, 2002).

Zero taxation (or voluntary 1%).

Formation Time

Company formation can be completed quickly, usually within a couple of days, once local KYC requirements have been met, with an electronic certificate of incorporation provided within 3 hours of incorporation. Documents are generally received at our offices in 5 - 7 days.  St. Vincent companies may be formed with: any of: -  Ltd., Corp., Inc., SA, NV, BV or GmBH etc.

Taxes & Accounts

Accounts need not be filed and for most St. Vincent IBCs no taxes are payable.

St Vincent Companies may choose to voluntarily pay 1% corporation tax on profits (useful in certain circumstances) but most incorporations are for “exempt” companies.  This provides for complete exemption from taxation; - There are NO estate taxes, corporate income taxes or withholding taxes for SVG IBCs.  Accounts for exempt companies need not be audited and are not filed with any authority.  St. Vincent Law however does require books of account to be maintained.

Directors and Shareholder requirements

A minimum of one director and one shareholder are required.   A company secretary may be appointed if desired but is not mandatory. Directors, Officers and shareholders may be natural persons or a body corporate, may be of any nationality and need not reside in St. Vincent and the Grenadines. Directors and shareholders are not on the public record.

Offshore bank account

A St. Vincent IBC may open a bank account worldwide.

St Vincent regulatory environment

Almost all jurisdictions heavily regulate the type of business companies are allowed to undertake. Universal examples are banking and insurance activities  for which a licence is required everywhere. However it is in the areas of foreign exchange (FX) and various commodity dealing that St Vincent has recently become popular as these sectors are not subject to regulation, unlike neighbouring jurisdictions.
